3. Using the Platform

3.1 Eligibility & Age: You must be at least 18 years old and not a direct competitor of Client Link CRM.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and ensuring the accuracy of registration data.
3.3 Permitted Use: You may use our services solely in accordance with applicable laws and these Terms. Prohibited uses include unauthorized copying, disruptive behavior, excess server load, or illegal content.

4. Content and Intellectual Property

4.1 Platform Ownership: All content, trademarks, and software used in the Platform are owned by Clientsphere LLC or its licensors and are protected by intellectual property laws.
4.2 License to You: You are granted a limited, revocable license to use the Platform for personal or business purposes. All other uses require our express written permission.
4.3 Your Content: You retain ownership of content you upload (“Your Content”). You grant us a license to use it solely to provide and improve our services.

5. User-Generated Content

You are responsible for all content you create or transmit using the Platform. You must comply with applicable laws, third-party rights, and refrain from uploading harmful, illicit, or infringing content. We reserve the right to remove inappropriate content.

6. Communications Compliance

Using telephony, SMS, email, or other messaging features requires compliance with laws like the TCPA and CAN-SPAM. You are exclusively responsible for ensuring compliance. We do not assume liability for user-originated communications.

7. Subscription Fees & Billing

7.1 Fees: You agree to pay all applicable fees. Subscription and add-on charges are non-refundable, unless required by law.
7.2 Billing Issues: Failure to pay may result in suspension or termination of your account, plus any collection costs.

8. No Warranties

The Platform and services are provided “as is” without warranty of any kind. We do not guarantee uninterrupted or error-free operation.

9. Limitation of Liability & Indemnification

9.1 Liability Cap: Our total liability is limited to the fees you paid in the three months prior to the incident. We are not liable for indirect or consequential damages.
9.2 Indemnification: You agree to defend and indemnify us against any claims from your use of the Platform or your content.

10. Termination

We may suspend or terminate your access at any time for any reason. You can cancel at any time with 30 days’ notice. Sections like intellectual property, indemnification, and liability survive termination.

11. Dispute Resolution; Arbitration & Governing Law

These Terms are governed by the laws of Florida, USA. Any dispute will be resolved through binding arbitration under the rules of the American Arbitration Association, held in Florida. Individual arbitration and a class-action waiver apply.

12. Miscellaneous

12.1 Force Majeure: We are not liable for delays due to events beyond our control.
12.2 Assignment: You can’t transfer your rights; we may assign our rights freely.
12.3 Entire Agreement: These Terms, along with our Privacy Policy, Cookie Policy, and Payment Policy, comprise the full agreement. Any other agreement with us will govern in case of conflict.
